These General Terms and Conditions of Sale, as well as the order form and order confirmation, constitute the sales contract between SNG Distribution and the CLIENT relating to the sale of the ordered products. In case of disagreement with the terms and conditions of the General Terms and Conditions of Sale, the CLIENT must not use the Website. SNG Distribution reserves the right to adapt or modify its General Terms and Conditions of Sale at any time and without notice, such adaptations or modifications then being applicable to all orders subsequent to the adaptations or modifications. In case of modification, the General Terms and Conditions of Sale applicable to the CLIENT's order are those that were online, and that the CLIENT accepted on the day of placing their order.

Article 1.

Definitions The terms and expressions identified by a capital letter in the General Terms and Conditions of Sale have the meaning indicated below (whether used in the singular or plural). General Terms and Conditions of Sale: refers to this document, i.e., the terms and conditions applicable in the relationship between SNG Distribution and the CLIENT. Order: refers to the CLIENT's purchase order for one or more Product(s) or Service(s) placed by using the Website http://canaweed-france.com or via CLIENT Service. Website: refers to the website accessible at http://canaweed-france.com. Product: refers to a product or Service offered for sale on the Website http://canaweed-france.com. CLIENT: refers to a Natural or Legal Person, consumer, who uses the Website http://canaweed-france.com and acquires one or more Product(s) for their personal needs, having previously adhered to the General Terms and Conditions of Sale.

Article 2.

Purpose These General Terms and Conditions of Sale aim to define the contractual relationship between SNG Distribution and the CLIENT and the conditions applicable to any purchase made through the website http://canaweed-france.com. By accepting these General Terms and Conditions of Sale, you declare that you have reached the age of majority in your country, state or province of residence, and that you have given us your consent to allow any minor dependent on you to purchase from this online sales site. The use of our products for any illegal or unauthorized purpose is prohibited. The company SNG Distribution reserves the right to modify these General Terms and Conditions of Sale at any time, in order to comply with any new regulations or with the aim of improving the use of its site. Therefore, the applicable conditions will be those in force on the date of the CLIENT's order.

Article 3.

Pre-contractual information Article L. 221-5 of the Consumer Code stipulates that prior to the conclusion of a sales or service contract, the professional must provide the consumer, in a legible and understandable manner, with the following information: - The information provided for in articles L. 111-1 and L. 111-2 of the same code, namely, among other things, the essential characteristics of the good or service, information relating to the identity of the professional, the existence and methods of implementation of legal guarantees, the possibility of recourse to a consumer mediator; - The conditions and procedures for exercising the right of withdrawal, with, where applicable, the fact that the CLIENT bears the cost of returning the goods; - All additional delivery, transport or postage costs; - If the contract is not for immediate execution, the period within which the seller undertakes to deliver the good;

Article 4.

Prices The prices appearing on the "product sheets" of the internet catalog are prices in Euros (€) inclusive of all taxes (TTC) taking into account the VAT applicable on the day of the order. Any change in the VAT rate may be reflected in the price of the products. The company SNG Distribution reserves the right to modify its prices at any time, it being understood, however, that the price listed in the catalog on the day of the order will be the only one applicable to the CLIENT. Products remain the property of http://canaweed-france.com until full payment is received by http://canaweed-france.com. Promotional products will be indicated by a "PROMOTION" sticker or by a crossed-out price; our promotions are valid while stocks last at the time of the order and during the display period. For CLIENTS outside Metropolitan France, http://canaweed-france.com is compelled, in accordance with current law, to charge VAT on orders shipped to most European Union countries. For CLIENTS outside the European Union and DOM-TOM, orders are not subject to VAT but may be subject to local taxes and customs duties in force in the country of receipt. These duties and sums are not the responsibility of http://canaweed-france.com. They are the responsibility of the CLIENT. Warning: Any inaccurate information provided by the CLIENT in order to evade VAT may result in civil penalties and criminal prosecution. The prices of the Products indicated on the website http://canaweed-france.com do not include processing and shipping costs, which are charged in addition to the price of the purchased Products and depend on the total amount of the order.

Article 5.

Order Contractual information is presented in French and will be confirmed by email, containing this contractual information at the latest at the time of delivery. The company SNG Distribution reserves the right to cancel or refuse any order from a CLIENT with whom there is a dispute relating to the payment of a previous order. To order Products on the Website http://canaweed-france.myshopify.com, the CLIENT must create an account by providing the information required in the registration form. To this end, the CLIENT declares to provide complete, non-erroneous personal information that allows for precise identification in any situation. Any fanciful or slanderous personal information is likely to lead to the closure of the CLIENT's account and the cancellation of their Order. The account creation section is directly accessible from the main menu bar. With each visit, the CLIENT, if they wish to order or consult their account (order status, personal information…), must log in using this information.

Article 6.

Payment The price of the Products and the logistical preparation and delivery costs are payable in full by the CLIENT at the time of placing the Order. The website http://canaweed-france.com may offer the CLIENT different payment methods to choose from: either by bank card: After choosing the bank card payment method, the CLIENT is redirected to the secure interface of the payment system to securely enter their personal bank card details. If the payment is accepted, the order is registered and the contract is definitively formed. Payment by bank card is irrevocable. or by bank transfer: After choosing the bank transfer payment method, and as soon as the order is validated, the CLIENT receives confirmation of their order registration. To finalize their payment and initiate the processing of their order, the CLIENT must make a transfer corresponding to the amount of their order to the bank account of SNG Distribution, whose details are communicated to the CLIENT at the end of the order. Upon receipt of the transfer, the order will be processed and the CLIENT will be informed by e-mail.

Article 7.

Order confirmation The order confirmation will be sent by email; upon receipt of payment, the CLIENT will receive a copy of the contract.

Article 8.

Legal product warranty In accordance with articles L. 217-4 et seq. of the Consumer Code and/or the warranty against hidden defects of the item sold as set out in articles 1641 et seq. of the Civil Code, SNG Distribution guarantees the conformity of the goods relating to the contract, allowing the CLIENT to make a claim under the legal conformity warranty. If the CLIENT wishes to implement this warranty, the application conditions are as follows: - The CLIENT has a period of 2 years from the delivery of the goods to act; - The CLIENT has the choice between repair or replacement of the goods, subject to the conditions provided for in article L. 217-17 of the Consumer Code; - The CLIENT does not have to provide proof of the non-conformity of the Product during the 24 months following its delivery; - The legal conformity warranty applies independently of the commercial warranty; - The CLIENT may decide to implement the warranty against hidden defects of the item sold within the meaning of article 1641 of the Civil Code. In this case, they can choose between rescission of the sale or a reduction in price in accordance with article 1644 of the Civil Code; Products must be returned in their original packaging, unused, accompanied by the initial signed delivery note. Return shipping costs are the responsibility of the Client.

Article 9.

Delivery The Products ordered by the CLIENT will be delivered according to the terms specified below. Delivery of the Products will occur, after registration of the payment for the Order, to the delivery address indicated by the CLIENT during the placement of the Order. An email will be sent to the CLIENT to inform them of the shipment of the Products. The CLIENT has the option to choose between different delivery methods. Shipping costs are calculated according to the chosen delivery method (home, relay point, post office...), the weight of the package, and the destination. Delivery times are given for information only; if they exceed thirty days from the order, the sales contract may be canceled and the CLIENT reimbursed. Upon delivery, the CLIENT must check the condition of the package's packaging. If it is damaged, the CLIENT must then check the condition of the Products. If they are damaged, the CLIENT must refuse the package and make a reservation on the delivery slip indicating the reason for the refusal. The CLIENT must also inform the seller of these reservations by email or postal mail within two working days. If a return of the Product(s) is necessary, a request by email or postal mail must be made to the seller within 14 days following the receipt of the Order. The return must be made in its original packaging and all products must be in their original condition. If no mention is made on the delivery slip, this verification will be considered as carried out from the moment the CLIENT or their agent has affixed their signature to the delivery slip. In the event of an error in the delivery of the product, the CLIENT must inform the seller within two working days, from the day of delivery. The complaint must be made via the client area of the website, or electronically at the following address: bauwens.stephane.pro@gmail.com Any complaint that does not comply with the rules defined above cannot be taken into account and will release the seller from any liability towards the CLIENT.

Article 10.

Right of Withdrawal In accordance with Article L. 221-18 of the Consumer Code, the CLIENT benefits from a period of 14 days to exercise their right of withdrawal from a distance contract. The period begins from the day the CLIENT receives the goods. After this period, the CLIENT may return any item that does not suit them and may obtain an exchange or a refund without penalty. The return costs will then be the sole responsibility of the CLIENT. The product must be returned in its original and complete condition, allowing for the re-commercialization of the products as new. The exchange (subject to Product availability) or refund will be made by the seller within a maximum of 14 days from the receipt of the Product(s) by the seller. If any of the previously stipulated conditions are not met, the CLIENT may be refused the application of their right of withdrawal. Article L.221-28 of the Consumer Code lists the cases where the right of withdrawal cannot be exercised by the CLIENT.

 

Article 11.

Recourse to a mediator In the event of failure following a complaint or in the absence of a response from a party within two months, the CLIENT may submit the dispute relating to an Order or the General Terms and Conditions of Sale to a mediator, particularly with existing sectoral mediation bodies, or the Consumer Mediation Commission, or by any alternative dispute resolution method.

Article 12.

Security The site http://canaweed-france.com uses a security system: the SSL encryption process has been adopted, and all scrambling and encryption processes have also been reinforced to protect all sensitive data related to payment methods as effectively as possible.

Article 13.

Article 14.

Force Majeure All circumstances beyond the control of the parties preventing the execution of their obligations under normal conditions are considered causes for exemption from the parties' obligations and lead to their suspension. This is then considered force majeure. The seller is authorized in the event of force majeure to suspend the execution of an order, in whole or in part, for the duration of the force majeure. The CLIENT must be informed without delay. If the force majeure lasts beyond 90 days without interruption, each party to the contract will have the option to unilaterally terminate, by registered letter with acknowledgment of receipt, sent to the other party. Note that services already performed nevertheless remain due to the seller.

Article 15.

Limitation of Liability The company SNG Distribution disclaims all liability for any damage that is not the consequence of a breach of an obligation by SNG Distribution itself. The company has, for all stages of access to the site, the order process, delivery, CLIENT service or subsequent services, only an obligation of means. The responsibility of SNG Distribution cannot be engaged for all inconveniences or damages inherent in the use of the internet network, including loss of data, intrusion, viruses, service interruption, and other involuntary problems. Computerized records kept in the information systems of SNG Distribution under reasonable security conditions, will be considered as proof of communication, orders and payments between SNG Distribution and the CLIENT.

Article 16.

Protection of personal data: SNG Distribution collects and processes the CLIENT's personal data and, where applicable, the data of the order recipient. Data collection is necessary for the management and execution of the order, as well as for the business relationship between SNG Distribution and the CLIENT. Data may be provided to SNG Distribution's contractual partners for the execution of the order, such as the management, processing, payment, and delivery of orders. Information is also collected and stored for security reasons, in compliance with legal and regulatory obligations. In addition, the information collected allows SNG Distribution to send promotional offers and establish business relationships with the customer. In accordance with French law 78-17 "Informatique et Libertés", the CLIENT has a right to access, modify, oppose, and delete their personal information. The CLIENT, upon proof of identity, may exercise the right to rectify, complete, update, block, or delete their personal information if this information is inaccurate, incomplete, imprecise, outdated, or if its collection, communication, or storage is illegal. This right can be exercised by writing to customer service. The CLIENT may also object to the use of their data for marketing purposes by SNG Distribution for legitimate reasons, except in the cases described in Article L. 7 of the Code des Postes et des Communications Électroniques. The Client may also ask SNG Distribution to limit the portability of their data, as far as possible.

Article 17.

Independence of clauses In the event that one or more clauses of these General Terms and Conditions of Sale are declared null or invalid following a decision of a competent court, the other clauses shall retain their full force and effect. Article 18. Applicable law These General Terms and Conditions are governed by French law. Article 19. Competent court In the event of a dispute, the competent court is the Tribunal Judiciaire de Marseille.
